Terms and Conditions for Skyvera Technologies IT Services and Solutions
These Terms and Conditions ("Terms") govern your use of the services and products offered by Skyvera Technologies, including, but not limited to, website development, e-commerce solutions, ERP software development, and related services (the "Services"). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must not use our Services.
1. Acceptance of Terms
By using our Services, you agree to abide by these Terms, which may be updated or modified from time to time. It is your responsibility to check for any changes periodically. Your continued use of our Services after any updates or modifications signifies your acceptance of the revised Terms.
2. Services Provided
Skyvera Technologies offers the following services:
E-commerce Website Development: Design and development of e-commerce platforms tailored to your business needs.
Static and Dynamic Website Development: Creation of static and dynamic websites with custom features and functionalities.
Customized ERP Software Solutions: Design, development, and implementation of ERP systems to streamline business operations.
3. User Responsibilities
As a user of our Services, you agree:
To provide accurate, current, and complete information during the project process.
To comply with all applicable laws and regulations related to the use of our Services. Not to misuse, alter, or reverse-engineer any content, data, or proprietary information provided by Skyvera Technologies.
To maintain the confidentiality of your account credentials and other sensitive information.
4. Payment Terms
All payments for the Services must be made in accordance with the payment schedule agreed upon before the start of any project.
Payments must be made promptly according to the terms specified in the agreement and invoice.
To obtain the website source code, 60% of the total project cost must be paid in advance.
Skyvera Technologies reserves the right to suspend or terminate Services if payments are not received within the agreed time frame.
Late / Non-Payment
- In the event of re-activation of a cancelled account, an administrative re-activation fee of INR 3,000 shall be applicable.
- If an account remains overdue for a period of seven (10) days, all technical support services shall be temporarily suspended.
- If an account remains overdue for fourteen (15) days, the associated website(s) and related services shall be rendered inactive.
- If an account remains overdue for thirty (30) days, all website(s), data, and related content shall be permanently removed from all systems without further notice.
- While Skyvera Technologies may attempt to contact the Client through available communication channels, it shall be the Client’s sole responsibility to ensure that all contact, address, and billing information remains accurate and up to date.
- In the event of a credit card chargeback or reversal of any transaction, the Client's account shall be immediately terminated, and all websites, data, content, emails, and associated records shall be permanently deleted without liability.
Skyvera Technologies shall not be liable for any loss of data, revenue, or business arising from actions taken in accordance with the above terms.
5. Intellectual Property
All intellectual property rights, including but not limited to copyrights, trademarks, and patents, related to the Services provided by Skyvera Technologies remain the property of Skyvera Technologies unless otherwise agreed in writing.
You are granted a non-exclusive, non-transferable license to use the deliverables (e.g., websites, ERP systems) only for the purpose intended and as outlined in the project agreement.
6. Confidentiality
Skyvera Technologies respects your privacy and is committed to protecting your personal and business information.
Any confidential information provided by you will be handled with the utmost care and will not be disclosed to any third party without your prior consent, except as required by law.
7. Service Availability and Maintenance
Skyvera Technologies strives to provide uninterrupted service; however, there may be instances of downtime for maintenance, upgrades, or unforeseen technical issues. We will make reasonable efforts to minimize disruption and will notify you of any planned downtime.
Skyvera Technologies is not responsible for any service interruptions due to third-party service providers, network failures, or external factors beyond our control.
8. Warranties and Limitations of Liability
Skyvera Technologies provides no warranties, express or implied, regarding the performance, reliability, or fitness for a particular purpose of the Services or products.
In no event shall Skyvera Technologies be liable for any indirect, consequential, or punitive damages arising from the use of our Services, including but not limited to loss of revenue, data, or business opportunities.
9. Termination
In the event that the Client violates any material term, policy, or condition, Skyvera Technologies may, at its sole discretion, suspend or terminate the Services upon providing written notice to the Client.
In the event of termination, the Client agrees to pay for all Services performed up to the termination date. Any refund, if applicable, shall be issued after a 40% deduction of the total project cost as service, administrative, and resource allocation charges. Return of intellectual property, data, or materials shall be subject to settlement of outstanding dues.
As a Paid Member, you agree not to directly or indirectly solicit, recruit, engage, or attempt to hire any current or former employee of Skyvera Technologies, including through any third party, consultant, agency, or intermediary. This restriction applies to all employees whose employment has ended within the preceding twenty-four (12) months.
In the event of a breach, Skyvera Technologies reserves the right to suspend or terminate services, withhold ongoing work, and initiate appropriate legal action as deemed necessary, without prejudice to any other rights or remedies available under law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Skyvera Technologies and its employees, agents, and affiliates from any claims, damages, losses, or expenses arising out of your use of the Services, including but not limited to any violation of these Terms or infringement of intellectual property rights.
11. Governing Law
These Terms will be governed by and construed in accordance with the laws of [Delhi Jurisdiction], without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved in the courts located in [Delhi Jurisdiction].
